Understanding eForm GNL-2

Form GNL-2 facilitates the submission of certain documents to the Registrar of Companies as required by the Companies Act, 2013. If no specific eForm is designated for filing documents with the Registrar, this form can be utilized for such submissions.

Applicability and Due Date

This form is mandated by the Companies Act, 2013, and the Companies Act, 1956 for filing documents. The due date for maintaining an ‘o’ Private Placement Offer Letter or record for a private placement offer by the company is within 30 days from the event date.

Fee Structure for Form GNL-2

The applicable fee for filing Form GNL-2 depends on the nominal share capital of the company, varying from Rs. 200 to Rs. 600 for companies with share capital and a flat fee of Rs. 200 for those without share capital.

Additional Fee Regulations

The imposition of additional fees is dependent on the duration of delays in submission:

  • Up to 30 days: Twice the normal fees
  • More than 30 days to 60 days: Four times the normal fees
  • More than 60 days to 90 days: Six times the normal fees
  • More than 90 days to 180 days: Ten times the normal fees
  • More than 180 days: Twelve times the normal fees
